WEBSITE DEVELOPMENT AGREEMENT

TERMS AND CONDITIONS FOR WEBSITE DEVELOPMENT SERVICES

Definitions

In this Agreement, the following terms shall have the meanings set forth below:

  • Client: The individual, firm, company, or other legal entity that engages the Company to provide website development services, as identified in the project proposal or agreement signed by both parties.
  • Company: Retailer Hub (under Brand Name: Lilt Infotech), a proprietorship, with its registered office at Vishwanathpur, Dumra, Sitamarhi, Bihar-843301, engaged in the business of website development.

1. Services Provided:

Company will provide website development services as outlined in the project proposal or agreement signed by both the Company and the Client ("the Client"). These services may include design, development, customization, and implementation of the website.

2. Third-Party Components:

The Company may utilize third-party plugins, themes, fonts, and images in the development of the website, subject to the terms and conditions of the respective third-party providers. The Client shall be responsible for obtaining any necessary licenses or permissions for the use of such components. We will only provide the integration with the plugin not the membership or subscription for their services. Client has to pay extra charge for it to the respective plugin/service provider.

3. Hosting:

The Company is responsible for limited securing and maintaining website hosting services from a third-party provider. The Company is not responsible for any issues arising from the hosting service, including but not limited to downtime, data loss, or security breaches. The Company and Client will also agree to the hosting provider terms and conditions. Currently Hostinger International Ltd is the hosting provider.

4. Intellectual Property:

  • Client Content: The Client is solely responsible for providing all website content, including text, images, videos, and other media. The Client represents and warrants that they have the right to use and authorize the Company to use all provided content, and that such content does not infringe any intellectual property rights of any third party.
  • Third-Party Components: The Client acknowledges that the Company may use third-party plugins, themes, fonts, and images, and that these components may be subject to separate licenses and restrictions.
  • Company Work Product: Upon full payment and completion of the project, the Client will own the final website design and any custom code developed by the Company specifically for the project. The Company shall retain the right to use the work product for its portfolio or promotional purposes.

5. Limitation of Liability:

The Company shall not be liable for any loss of data, business interruption, or any indirect, special, incidental, or consequential damages arising out of the use or inability to use the website, even if the Company has been advised of the possibility of such damages. The Company's liability shall be limited to the amount paid by the Client for the services rendered.

6. Disclaimer of Warranties:

The website is provided on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of the website or the information, content, materials, or products included on the website.

7. Indemnification:

The Client agrees to indemnify and hold harmless the Company and its employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to the Client's content, use of the website, or violation of these Terms and Conditions.

8. Confidentiality:

Both parties agree to maintain the confidentiality of any confidential information disclosed during the course of the project, except as required by law or a court order.

9. Governing Law and Jurisdiction:

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in [City], India.

10. Entire Agreement:

These Terms and Conditions constitute the entire agreement between the Company and the Client and supersede all prior or contemporaneous communications and proposals, whether oral or written.

By engaging the Company's services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
